Please read and accept the Xperio BusinessOS™ Terms & Conditions before creating your account.
1. Introduction
These Terms & Conditions form an agreement between XPERIO TECH INNOVATIONS LTD ("Xperio", "we") and the business or person that creates an Xperio BusinessOS™ account ("Subscriber", "you"). By creating an account you agree to these Terms.
2. Eligibility and authority
You confirm that you are at least 18 years old and are authorised to create an account for, and bind, the business you register.
3. Account registration
You must supply accurate, current information and keep it up to date. You are responsible for keeping your login details confidential and for all activity under your account.
4. Business data
You remain responsible for the accuracy, completeness and legality of the information you and your team enter into Xperio, including customer, product, sales, payroll and financial records.
5. User access and roles
You decide who is invited to your business and which role each person receives. You are responsible for assigning appropriate roles and for removing access promptly when it is no longer needed.
6. Financial records
Xperio provides software for recording, managing and reconciling business information. It is not accounting, tax or legal advice. You remain responsible for your accounting decisions, records and statutory obligations.
7. Payments and third-party providers
Payment services are provided by third parties such as Paystack and Flutterwave, which have their own terms, eligibility requirements, fees and processing rules. Xperio does not control and does not guarantee the availability of third-party providers.
8. Subscription and billing
Paid plans are billed in advance for the chosen period (monthly or annual) through our payment providers. A subscription becomes active only after the provider confirms payment. If a payment fails, your account may enter a grace period and then be restricted until payment is made; your records are retained. You may cancel at any time, and access continues until the end of the paid period. Renewal and any refund are handled as stated on the pricing page or as required by law.
9. Acceptable use
You must not use Xperio for fraud or unlawful activity; attempt unauthorised access; attempt to access another business's data; reverse engineer or probe the service to compromise it; introduce malicious code; or otherwise abuse the platform.
10. Security
We use technical and organisational safeguards, including business-level data separation and role-based access controls. No system is completely secure. You are responsible for your credentials and for the people you authorise.
11. Availability
We aim to keep the service available, but it may be affected by maintenance, infrastructure failures, internet outages, third-party provider outages or circumstances beyond our reasonable control.
12. Data protection and privacy
We process personal data as described in our Privacy Policy and in line with applicable Nigerian data-protection law, including the Nigeria Data Protection Act 2023. You are responsible for having a lawful basis for the personal data you enter about your customers and staff.
13. Intellectual property
Xperio BusinessOS™, its software, branding and design belong to XPERIO TECH INNOVATIONS LTD or its licensors. Your business data remains yours; you grant us only the rights needed to provide the service.
14. Suspension and termination
We may suspend or terminate access for non-payment, breach of these Terms, suspected fraud or security risk, or where required by law. Where reasonable we will give notice. You may close your account at any time.
15. Limitation of liability
To the extent permitted by law, Xperio is not liable for indirect or consequential loss, loss of profit, or losses caused by third-party providers or by information you enter. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
16. Changes to these Terms
We may update these Terms. Material changes will be communicated in the app or by email, and you may be asked to accept the new version before continuing to use the service.
17. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will first be discussed in good faith and otherwise submitted to the competent Nigerian courts.
